The following clause is recommended for inclusion in contracts to permit the involvement of AmCham Chile’s Arbitration and Mediation Center:
"Any question, difficulty or discrepancy arising between the parties concerning this agreement or modifications hereto, relating to the interpretation, performance, validity, execution or termination of same or any other cause relating to the agreement or obligations hereunder, shall be resolved by arbitration administered by the Arbitration and Mediation Center of the Chilean American Chamber of Commerce, AmCham, in accordance with its Arbitration Rules.
For the above purposes, the parties shall appoint by mutual agreement and from among the persons on the roster of said Arbitration and Mediation Center the arbitrator or arbitrators who shall resolve the difficulty or dispute.
Should the parties not reach agreement with respect to the appointment of the arbitrator or arbitrators in the manner indicated herein, the parties grant special and irrevocable power of attorney to AmCham Chile to appoint the arbitrator or arbitrators to resolve such difficulty or dispute, following the submission of a written request by either party.
The decision of the arbitrator or arbitrators appointed pursuant to this clause shall be final and the parties hereto expressly waive any right they may have to any appeal against such decision.
The arbitrator or arbitrators appointed pursuant to this clause shall be expressly empowered to resolve any matters relating to their powers and jurisdiction."
