Caracterizado por su franqueza, le vali\u00f3 a Chile ubicarse en el lugar n\u00famero 37 de los 185 pa\u00edses que compusieron el ranking Doing Business 2013 del Banco Mundial, el nivel m\u00e1s alto para un pa\u00eds latinoamericano.<\/p>\n<p style=\"text-align: justify;\">No obstante, Chile tiene un problema, uno que tradicionalmente ha estado envuelto en un velo de verg\u00fcenza. Comenzar una empresa es f\u00e1cil -un proceso casi tan r\u00e1pido como en Estados Unidos, seg\u00fan el Banco Mundial-, pero cerrar una empresa que est\u00e1 en dificultades financieras es otro cuento.<\/p>\n<p style=\"text-align: justify;\">En el indicador \u201cResoluci\u00f3n de la Insolvencia\u201d del ranking Doing Business, Chile alcanz\u00f3 solo la ubicaci\u00f3n n\u00famero 98. La quiebra es, en otras palabras, un proceso que no es solo doloroso sino que tambi\u00e9n largo, costoso y con una tasa de recuperaci\u00f3n para los acreedores que el Banco Mundial estima en solo un 30%, lo que se compara con la tasa de m\u00e1s del 80% en Estados Unidos.<\/p>\n<p style=\"text-align: justify;\">La mayor\u00eda de los dem\u00e1s pa\u00edses latinoamericanos est\u00e1n en el mismo barco. Brasil, en el puesto 143, y Per\u00fa, en el 106, tuvieron un desempe\u00f1o peor que el de Chile y Argentina, en el lugar 94, fue apenas levemente superior.<\/p>\n<p style=\"text-align: justify;\">No es ese el caso de Colombia. Tras una reforma de su ley de bancarrota en el 2006, la naci\u00f3n subi\u00f3 al puesto n\u00famero 21 en este indicador, el lugar m\u00e1s alto en Am\u00e9rica Latina, sentando un ejemplo que ahora Chile est\u00e1 tratando de emular.<\/p>\n<p style=\"text-align: justify;\">A diferencia de, digamos, Estados Unidos con su C\u00f3digo de Quiebras, Chile no cuenta con una ley de quiebras como tal, destaca la superintendenta de Quiebras del Gobierno, Josefina Montenegro. Es m\u00e1s, las normas de Chile, contenidas en el Libro IV de su C\u00f3digo de Comercio, se remontan a 1982 -cuando las necesidades del pa\u00eds, en medio de una crisis bancaria, eran muy diferentes a las de hoy en d\u00eda- y han cambiado poco desde entonces.\u00a0<img loading=\"lazy\" decoding=\"async\" style=\"margin: 4px; float: left;\" alt=\"\" src=\"\/sites\/default\/files\/JOSEFINA_MONTENEGRO_1.jpg\" width=\"200\" height=\"150\" \/><\/p>\n<p style=\"text-align: justify;\">La reforma de estas normas anticuadas se ha debatido por largo tiempo, pero no fue hasta principios de este a\u00f1o que el Gobierno del presidente Sebasti\u00e1n Pi\u00f1era tom\u00f3 el toro por las astas. En mayo, como parte de un programa m\u00e1s amplio de medidas dise\u00f1adas para impulsar la competitividad internacional de Chile, el Gobierno present\u00f3 un proyecto de ley -la propuesta Ley de Reorganizaci\u00f3n y Liquidaci\u00f3n de Empresas y Personas- que representar\u00eda, seg\u00fan dice, una modernizaci\u00f3n radical del sistema de quiebras del pa\u00eds.<\/p>\n<p style=\"text-align: justify;\">Basada muy de cerca en la reforma colombiana, este busca aumentar la eficiencia con la que se puede poner fin a una compa\u00f1\u00eda insolvente, incrementar la tasa de recuperaci\u00f3n de los acreedores y liberar al due\u00f1o m\u00e1s r\u00e1pidamente para nuevos emprendimientos. Montenegro pone de relieve adem\u00e1s que facilitar\u00e1 la reorganizaci\u00f3n de empresas en problemas pero viables y que, para personas en dificultades financieras -quienes en la actualidad est\u00e1n sometidos a los mismos procedimientos engorrosos que las compa\u00f1\u00edas- ofrece una soluci\u00f3n administrativa nueva y mucho m\u00e1s simple.<\/p>\n<p style=\"text-align: justify;\"><strong>M\u00e1s R\u00e1pido y M\u00e1s Barato<\/strong><\/p>\n<p style=\"text-align: justify;\">Independientemente de que una compa\u00f1\u00eda necesite reorganizarse o cerrarse, la rapidez es esencial. No obstante, esto es precisamente lo que la actual legislaci\u00f3n de Chile parece no ofrecer. De acuerdo con el Banco Mundial, transcurren un promedio de 3,2 a\u00f1os entre el incumplimiento de una empresa y el momento en que sus acreedores reciben al menos algo de pago, lo que compara con los 1,3 a\u00f1os en Colombia y los 1,5 a\u00f1os en Estados Unidos.<\/p>\n<p style=\"text-align: justify;\">Sin embargo, estas cifras son enga\u00f1osas, sugiere Juan Esteban Puga, abogado experto en derecho concursal quien particip\u00f3 en un consejo asesor sobre la reforma a la ley de quiebras, convocado por el gobierno anterior. Los activos de la mayor\u00eda de las empresas en quiebra se venden y la recaudaci\u00f3n se distribuye a sus acreedores dentro de un a\u00f1o, sostiene. Lo que demora m\u00e1s, afirma, y que probablemente explica la cifra del Banco Mundial, usualmente son solo cabos sueltos tales como la presentaci\u00f3n al s\u00edndico de quiebras de sus cuentas formales o detalles legales menores.<img loading=\"lazy\" decoding=\"async\" class=\"alignright\" style=\"margin: 4px; float:right;\" alt=\"\" src=\"\/sites\/default\/files\/Esteban_Puga_1.jpg\" width=\"140\" height=\"200\" \/><\/p>\n<p style=\"text-align: justify;\">Puga adem\u00e1s advierte sobre los peligros de tratar de acelerar demasiado el proceso. Es cierto que dejar los activos de la compa\u00f1\u00eda ociosos puede disminuir su valor, pero ello tambi\u00e9n puede ocurrir por tratar de venderlos demasiado r\u00e1pidamente, subraya.<\/p>\n<p style=\"text-align: justify;\">Sin embargo, al menos al comienzo del proceso, la acci\u00f3n expedita es crucial y el actual sistema reacciona demasiado lento, insiste la superintendenta Montenegro. Sin plazos establecidos legalmente o tribunales especializados, conseguir simplemente una declaraci\u00f3n de quiebra puede tardar meses, se\u00f1ala.<\/p>\n<p style=\"text-align: justify;\">El proyecto de ley abordar\u00eda esto no solo mediante el establecimiento de plazos claros, sino tambi\u00e9n por medio de la designaci\u00f3n de tribunales particulares, cuyos jueces recibir\u00edan entrenamiento especial, para ver los casos de quiebra. Asimismo ello tendr\u00eda la ventaja de reducir las diferencias que actualmente pueden darse en los fallos, dependiendo del tribunal en el que caiga un caso.<\/p>\n<p style=\"text-align: justify;\">No obstante, adem\u00e1s de largo, la quiebra es tambi\u00e9n un procedimiento costoso. Simplemente publicar todos los avisos necesarios en el Diario Oficial de Chile puede costar hasta 500.000 pesos (poco m\u00e1s de US$1.000), afirma Montenegro, un gasto que -en virtud de la propuesta nueva ley- se eliminar\u00eda por medio de la creaci\u00f3n de un sistema de notificaci\u00f3n gratuito y electr\u00f3nico.<\/p>\n<p style=\"text-align: justify;\">Dado el contexto de la crisis bancaria en el que fue redactada, la actual ley fue dise\u00f1ada principalmente para cerrar empresas y el nuevo proyecto de ley aspira a cambiar esto, dando prioridad a su reorganizaci\u00f3n como una primera opci\u00f3n. La reorganizaci\u00f3n est\u00e1 contemplada en el actual sistema como convenios supervisados por la corte, pero rara vez se usan.<\/p>\n<p style=\"text-align: justify;\">Esto se debe principalmente a que hay pocos incentivos para que los deudores celebren un convenio mientras crean que a\u00fan tienen una posibilidad de mantenerse a flote y despu\u00e9s, tradicionalmente, es demasiado tarde. El proyecto de ley busca remediar esto, por ejemplo, mediante la provisi\u00f3n de un per\u00edodo de protecci\u00f3n al deudor de 30 d\u00edas. Asimismo, dividir\u00eda a los s\u00edndicos en dos grupos: <em>veedores<\/em> o supervisores, quienes se especializar\u00edan en guiar a las empresas a trav\u00e9s de los procesos de reorganizaci\u00f3n, y liquidadores, quienes efectuar\u00edan el cierre.<\/p>\n<p style=\"text-align: justify;\"><strong>\u00bfIncentivos Correctos?<\/strong><\/p>\n<p style=\"text-align: justify;\">Sin embargo, el desaf\u00edo clave ser\u00e1 lograr que las compa\u00f1\u00edas usen el nuevo sistema. Un estudio del consejo asesor del gobierno anterior sugiere que solo cerca del 7% de las compa\u00f1\u00edas insolventes en realidad atraviesan por procedimientos formales de bancarrota, mientras que cerca del 54% simplemente cierra el negocio y el 39% restante logra cierto tipo de reorganizaci\u00f3n informal con sus acreedores.<\/p>\n<p style=\"text-align: justify;\">Y, seg\u00fan Puga, eso no parece haber cambiado demasiado en Colombia tras su reforma. Los resultados de las compa\u00f1\u00edas que usan el sistema pueden ser mejores, pero a\u00fan parece que muchas no est\u00e1n us\u00e1ndolo, sostiene.<\/p>\n<p style=\"text-align: justify;\">Y hay mucho en contra del propuesto nuevo sistema de Chile. Para empezar, una actitud fuertemente arraigada hacia la quiebra como vergonzosa y un temor sobre las posibles consecuencias penales de involucrarse con el sistema formal.<\/p>\n<p style=\"text-align: justify;\">En t\u00e9rminos pr\u00e1cticos, el nuevo sistema propuesto no ser\u00eda de mucha ayuda para los emprendedores que se encuentren en una etapa inicial, comenta Cristi\u00e1n L\u00f3pez, director ejecutivo de la Asociaci\u00f3n de Emprendedores de Chile (ASECH). La mayor parte de su financiamiento inicial proviene de familiares, amigos y tontos, y por lo tanto -casi por definici\u00f3n- caen fuera del alcance de los procedimientos formales de quiebra, pero cualquier cosa que ayude a reducir el estigma del fracaso ser\u00eda extremadamente bienvenida, a\u00f1ade.\u00a0<img loading=\"lazy\" decoding=\"async\" class=\"alignleft\" style=\"margin: 4px; float: laft;\" alt=\"\" src=\"\/sites\/default\/files\/CRISTIAN_LOPEZ_1.jpg\" width=\"140\" height=\"210\" \/><\/p>\n<p style=\"text-align: justify;\">En un esfuerzo en esa direcci\u00f3n, el proyecto de ley cambiar\u00eda parte del lenguaje de la bancarrota. En lugar de quiebra, usar\u00eda liquidaci\u00f3n. Y ya no se har\u00eda referencia al deudor como fallido.<\/p>\n<p style=\"text-align: justify;\">Adem\u00e1s definir\u00eda m\u00e1s claramente los delitos que el due\u00f1o de una compa\u00f1\u00eda en problemas puede cometer y reducir\u00eda el riesgo de hacerlo de manera inadvertida, destaca Daniel Montalva, abogado del centro de estudios Libertad y Desarrollo y asesor de pol\u00edtica legislativa. Y, en un esfuerzo adicional por cambiar actitudes, la Superintendencia de Quiebras ya no ser\u00eda parte del Ministerio de Justicia, sino que pasar\u00eda al Ministerio de Econom\u00eda.<\/p>\n<p style=\"text-align: justify;\">No obstante, existe cierta preocupaci\u00f3n en cuanto a que las barreras de entrada al sistema, dise\u00f1adas para protegerse de su abuso por parte de deudores interesados simplemente en el per\u00edodo de protecci\u00f3n de 30 d\u00edas, podr\u00edan ser muy altas, al menos en la actual forma del proyecto. A diferencia del Cap\u00edtulo 11 de la Ley de Quiebras de Estados Unidos, con su simple presentaci\u00f3n ante un juez, los deudores en Chile tendr\u00edan que presentarse armados con estudios de contadores, abogados, etc\u00e9tera, destaca Montalva.<\/p>\n<p style=\"text-align: justify;\">La preocupaci\u00f3n sobre el efecto disuasivo de ese requerimiento es compartida por Puga. \u201c\u00bfVa a reunir todo ese papeleo alguien que est\u00e1 desesperado?\u201d, se pregunta. \u201cY, en cualquier caso, mientras m\u00e1s demores en volverte insolvente, menos vales\u201d.<\/p>\n<p style=\"text-align: justify;\">Luego est\u00e1 el tema de los acreedores relacionados, a\u00f1ade. En una apuesta desesperada por mantenerse a flote, los due\u00f1os de empr<span>esas a menudo les prestan dinero cuando nadie m\u00e1s lo har\u00e1, pero cuentan como acreedores relacionados quienes, en virtud del\u00a0<\/span>nuevo sistema propuesto, pasar\u00edan al final de la lista, lo que implica una perspectiva poco apetecible de no solo de perder su sustento y capital, sino que tambi\u00e9n de una baja y, quiz\u00e1s, inexistente recuperaci\u00f3n de estos pr\u00e9stamos.\u00a0<img loading=\"lazy\" decoding=\"async\" style=\"margin: 4px; float: right;\" alt=\"\" src=\"\/sites\/default\/files\/Daniel_Montalva_0.jpg\" width=\"150\" height=\"200\" \/><\/p>\n<p style=\"text-align: justify;\">El tema clave que esto presenta, sugiere Montalva, es si el nuevo sistema como est\u00e1 propuesto en la actualidad simplemente ser\u00e1 m\u00e1s eficiente para gente que de todos modos hubiera optado por los procedimientos formales o si tambi\u00e9n alentar\u00e1 a m\u00e1s personas a hacerlo. Y, a\u00f1ade, es imposible estar seguro de eso hasta que el sistema comience a operar.<\/p>\n<p style=\"text-align: justify;\">El Gobierno espera, con cierta raz\u00f3n, que el proyecto de ley complete su paso por el Congreso el pr\u00f3ximo a\u00f1o, pero -en un a\u00f1o electoral- es dif\u00edcil estar seguro. Y, de no ser as\u00ed, recaer\u00e1 sobre otro gobierno el decidir si Chile obtiene un nuevo sistema de quiebras y la forma que este toma.<\/p>\n<p style=\"text-align: justify;\"><strong>Ruth Bradley<\/strong> trabaja como periodista freelance en Santiago y es ex editora de bUSiness CHILE.<\/p>\n<p><!--:--><!--:en--><P style=\"TEXT-ALIGN: justify\">Chile is justifiably proud of its business climate. Characterized by its straightforwardness, it earned Chile 37<SUP>th<\/SUP> position out of 185 countries in the World Bank\u2019s Doing Business 2013 ranking, the highest for a Latin American country.<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">But Chile has a problem, one that has traditionally been shrouded in shame. Starting a business is easy &#8211; almost as fast a process as in the United States, according to the World Bank &#8211; but closing a business that has run into financial difficulties is another story.<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">On the Doing Business ranking\u2019s \u201cResolving Insolvency\u201d indicator, Chile managed only 98<SUP>th<\/SUP> position. Bankruptcy is, in other words, a process that is not only painful but also long, costly and with a recovery rate for creditors that the World Bank estimates at only 30% as compared to over 80% in the United States.\u00a0<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">Most other Latin American countries are pretty much in the same boat. Brazil, in 143<SUP>rd<\/SUP> position, and Peru, at 106<SUP>th<\/SUP>, performed even worse than Chile and Argentina, at 94<SUP>th<\/SUP>, only slightly better.<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">But not Colombia. Following a reform of its bankruptcy legislation in 2006, it has climbed to 21<SUP>st<\/SUP> place on this indicator, the highest position in Latin America, setting an example that Chile is now seeking to emulate.<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">Unlike, say, the United States with its Bankruptcy Code, Chile doesn\u2019t have a bankruptcy law as such, points out the government\u2019s Superintendent for Bankruptcies, Josefina Montenegro. Moreover, Chile\u2019s norms, contained in Book IV of its Commercial Code, date back to 1982 &#8211; when the country\u2019s needs, in the midst of a banking crisis, were very different from those of today &#8211; and have changed little since then.\u00a0<IMG style=\"MARGIN: 4px; FLOAT: left\" alt=\"\" src=\"\/sites\/default\/files\/JOSEFINA_MONTENEGRO_2.jpg\" width=200 height=150><\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">Reform of these outdated norms has long been mooted but it wasn\u2019t until earlier this year that the government of President Sebasti\u00e1n Pi\u00f1era took the bull by the horns. In May, as part of a broader program of measures designed to boost Chile\u2019s international competitiveness, it presented a bill &#8211; the proposed Law on the Reorganization and Liquidation of Companies and Individuals &#8211; that would, it claims, represent a radical overhaul of the country\u2019s bankruptcy system.<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">Based closely on the Colombian reform, it seeks to increase the efficiency with which an insolvent company can be wound up, increasing creditors\u2019 recovery rate and freeing the owner more quickly for new undertakings. In addition, points out Montenegro, it would also facilitate the reorganization of troubled but viable companies and, for individuals in financial difficulties &#8211; currently subject to the same cumbersome procedures as companies &#8211; offer a new and much simpler administrative solution.<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\"><STRONG>Faster and cheaper<\/STRONG><\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">Regardless of whether a company needs to reorganize or be wound up, speed is of the essence. Yet this is precisely what Chile\u2019s current legislation does not seem to offer. According to the World Bank, an average 3.2 years elapse between a company\u2019s default and at least some payment being received by its creditors as compared to 1.3 years in Colombia and 1.5 years in the United States.<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">Those figures are, however, misleading, suggests Juan Esteban Puga, a bankruptcy lawyer who served on an advisory council on bankruptcy reform, convened by the previous government. The assets of most bankrupt companies are sold and the proceeds distributed to its creditors within a year, he maintains. What takes longer, he says, and probably explains the World Bank figure, are usually only loose ends such as the bankruptcy trustee\u2019s presentation of its formal accounts or minor legal details. \u00a0\u00a0<IMG style=\"MARGIN: 4px; FLOAT: right\" alt=\"\" src=\"\/sites\/default\/files\/Esteban_Puga_1_0.jpg\" width=140 height=200><\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">Puga also warns against the dangers of trying to accelerate the process too much. True, leaving a company\u2019s assets idle can diminish their value but so too can trying to sell them too quickly, he notes.<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">But, at least at the start of the process, prompt action is crucial and the present system is too slow off the mark, insists Superintendent Montenegro. Without legally-established deadlines or specialized courts, simply getting a declaration of bankruptcy can run into months, she points out. \u00a0<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">The bill would address this not only by establishing clear deadlines but also by earmarking particular courts, whose judges would receive special training, to see bankruptcy cases. That would also have the advantage of reducing the differences that can currently occur in rulings, depending on the court before which a case happens to fall.<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">But, as well as lengthy, bankruptcy is also a costly procedure. Simply putting all the required notices in the <EM>Diario Oficial<\/EM> &#8211; Chile\u2019s legal gazette &#8211; can cost up to 500,000 pesos (just over US$1,000), says Montenegro, an expense that, under the proposed new law, would be eliminated through the creation of a free, electronic notification system.<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">Given the context of the banking crisis in which it was written, the existing law was designed principally for winding up companies and the new bill aims to change that, giving priority to their reorganization as a first option. Reorganization is envisaged in the present system in the form of court-supervised <EM>convenios<\/EM> (agreements) but they are rarely used.<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">That is mainly because there are few incentives for debtors to enter into a <EM>convenio<\/EM> as long as they believe they still have a chance of staying afloat and then, typically, it is too late. The bill seeks to remedy this by, for example, providing the debtor with a 30-day protection period. In addition, it would divide bankruptcy trustees into two groups &#8211; <EM>veedores<\/EM> or supervisors who would specialize in guiding companies through reorganization processes and liquidators who would do the winding up.<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\"><STRONG>Right incentives?<\/STRONG><\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">The key challenge will, however, be to get companies to use the new system. A study by the previous government\u2019s advisory council suggests that only around 7% of insolvent companies actually go through formal bankruptcy proceedings while some 54% simply shut up shop and the remaining 39% reach some sort of informal reorganization arrangement with their creditors.<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">And, according to Puga, that doesn\u2019t seem to have changed much in Colombia after its reform. The results for companies using the system may be better but many still appear not to be using it, he says.<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">And there is a lot stacked against Chile\u2019s proposed new system. To start with, a deeply embedded attitude towards bankruptcy as shameful and a fear of the possible penal consequences of getting entangled with the formal system.<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">In practical terms, the proposed new system wouldn\u2019t be much help to early-stage entrepreneurs, says Cristi\u00e1n L\u00f3pez, executive director of the Chilean Association of Entrepreneurs (ASECH). Most of their initial financing comes from the so-called three Fs &#8211; family, friends and fools &#8211; and so, almost by definition, they fall outside the scope of formal bankruptcy proceedings but, he adds, anything that helps to reduce the stigma of failure would be extremely welcome.<IMG style=\"MARGIN: 4px; FLOAT: left\" alt=\"\" src=\"\/sites\/default\/files\/Cristian_Lopez_2.jpg\" width=150 height=200><\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">In an effort in that direction, the bill would change some of the language of bankruptcy. Instead of <EM>quiebra<\/EM> &#8211; which roughly translates as \u201cbreakage\u201d &#8211; it would use <EM>liquidaci\u00f3n<\/EM>. And the debtor would no longer be referred to as <EM>fallido<\/EM> or \u201cfailed one\u201d.<\/P><br \/>\n<P style=\"TEXT-ALIGN: justify\">It would also define more clearly the criminal offences that the owner of a company in difficulties can commit and reduce the risk of doing so inadvertently, points out Daniel Montalva, a lawyer at the Libertad y Desarrollo think tank and a legislative policy advisor.
