Proyectos de infraestructura est\u00e1n convirtiendo a Chile en el destino preferido para empresas y fondos de pensiones que buscan inversiones de bajo riesgo y estabilidad de largo plazo.<br \/>\nEn los \u00faltimos a\u00f1os, inversionistas -incluidos Ontario Teachers&#8217; Pension Plan, Canada Pension Plan Investment Board (CPP) y Brookfield Asset Management Inc., firma que cotiza acciones en bolsa- han gastado miles de millones de d\u00f3lares en adquirir empresas chilenas de servicios p\u00fablicos en los sectores de electricidad y servicios sanitarios.<\/p>\n<p>De hecho, Canad\u00e1 se ha convertido en el tercer mayor inversionista extranjero en Chile, despu\u00e9s de Estados Unidos y Espa\u00f1a, siendo responsable del 16,4% de la inversi\u00f3n extranjera directa en el pa\u00eds. El a\u00f1o pasado, los canadienses invirtieron US$1.800 millones en Chile y de ese monto, una parte cada vez mayor corresponde a proyectos de infraestructura.<\/p>\n<p>El Ontario Teachers\u2019 Pension Plan (OTPP) es el \u00faltimo en subirse al carro. Con US$106.000 millones en activos, el OTPP es el mayor fondo de pensiones de una sola profesi\u00f3n en Canad\u00e1, administrando las pensiones de 271.000 profesores activos y jubilados de Ontario.<\/p>\n<p>Atra\u00eddo por la estabilidad pol\u00edtica y econ\u00f3mica de Chile, el OTPP ha invertido cerca de US$1.000 millones para comprar participaciones en dos sanitarias chilenas y planea cerrar una inversi\u00f3n en una tercera a fines de este a\u00f1o.<\/p>\n<p>La \u201ccomprensi\u00f3n pr\u00e1ctica de los negocios\u201d de la agencia chilena de desarrollo econ\u00f3mico Corfo y del gobierno han allanado el camino, se\u00f1ala Jim Leech, primer vicepresidente de capital privado de OTPP, quien tras su designaci\u00f3n asumir\u00e1 como presidente y gerente general de la entidad en diciembre.<\/p>\n<p>En agosto, el OTPP culmin\u00f3 la adquisici\u00f3n del 50,8% de Empresa de Servicios Sanitarios del B\u00edo-B\u00edo (ESSBIO), empresa que cotiza en bolsa y que es la segunda mayor sanitaria de Chile con operaciones en la VI y VIII regiones, adem\u00e1s del 100% de Aguas Nuevo Sur Maule (ANSM), que opera en la VII Regi\u00f3n. Las participaciones en ambas empresas fueron compradas a la firma de capital privado de Am\u00e9rica Latina Southern Cross Group y a otros accionistas minoritarios.<\/p>\n<p>OTPP tambi\u00e9n suscribi\u00f3 un acuerdo para comprar hasta el 100% de ESVAL, la tercera mayor empresa de aguas y alcantarillado de Chile en la V Regi\u00f3n. Se espera que la mencionada transacci\u00f3n concluya en enero del 2008, se\u00f1ala Leech.<\/p>\n<p><b><i>\u00bfCu\u00e1l es la estrategia de inversi\u00f3n de Teachers\u2019 a nivel mundial?<\/b><\/i><\/p>\n<p>La mejor inversi\u00f3n para contrarrestar nuestros pasivos vinculados a la inflaci\u00f3n ser\u00edan bonos indexados a la inflaci\u00f3n, pero ellos no rinden lo suficiente, de modo que tenemos que buscar otras inversiones de largo plazo y baja volatilidad que est\u00e1n impl\u00edcita o expl\u00edcitamente vinculadas a la inflaci\u00f3n o al crecimiento econ\u00f3mico. Esto puede incluir servicios p\u00fablicos regulados como los de aguas y alcantarillado, hidroelectricidad, gas, ductos, peajes, aeropuertos o puertos.<\/p>\n<p>En el 2002 comenzamos a invertir en infraestructura y a analizar mercados con reg\u00edmenes regulatorios estables, que son clave para nosotros. Nos interesamos en Chile hace unos tres a\u00f1os y nos sentimos c\u00f3modos con el gobierno y el marco regulador.<\/p>\n<p><b><i>\u00bfQu\u00e9 atrajo a Teachers\u2019 a Chile?<\/b><\/i><\/p>\n<p>Su estabilidad pol\u00edtica y econ\u00f3mica. Clasificamos a los pa\u00edses seg\u00fan el riesgo tanto pol\u00edtico como econ\u00f3mico y Chile result\u00f3 ser uno de los mejores de Am\u00e9rica Latina.<\/p>\n<p>Encontramos que la Corfo y el gobierno estaban muy orientados a los negocios y pensamos que ser\u00edan grandes socios. Demostraron mucha inteligenicia pr\u00e1ctica de los negocios y es refrescante encontrar eso en una agencia de gobierno. Por ejemplo, tuvimos que hacer una reorganizaci\u00f3n del capital accionario que requer\u00eda la aprobaci\u00f3n regulatoria y las autoridades se mostraron muy cooperadoras.<\/p>\n<p>Compramos el 100% de Aguas Nuevo Sur Maule, s\u00f3lo el 51% de ESSBIO y tendremos m\u00e1s del 50% de ESVAL. Corfo sigue siendo el otro mayor accionista individual en estas empresas. En conjunto, representan cerca del 30% del sistema sanitario de Chile. <\/p>\n<p>OTPP participar\u00e1 de manera activa en los directorios de estas empresas: nuestro plan apunta a designar dos representantes de Teachers\u2019 y dos empresarios chilenos independientes para cada uno de los directorios. La administraci\u00f3n seguir\u00e1 tal como est\u00e1 y ser\u00e1 responsable de las operaciones del d\u00eda a d\u00eda de sus respectivas empresas.<\/p>\n<p>Somos inversionistas globales y estamos acostumbrados a trabajar en pa\u00edses extranjeros. La clave radica en establecer s\u00f3lidas relaciones dentro de la comunidad empresarial local. Durante los \u00faltimos tres a\u00f1os, nuestro equipo ha formado una red de contactos en Chile. Nuestro modus operandi es formar relaciones con gente en el terreno. Tambi\u00e9n empleamos a consultores locales para asesorar estas empresas. <\/p>\n<p><b><i>\u00bfPor qu\u00e9 invertir en empresas sanitarias?<\/b><\/i><\/p>\n<p>En el 2003, identificamos a Chile como un pa\u00eds atractivo en el cual invertir. El primer activo de infraestructura que analizamos fue la mayor firma de transmisi\u00f3n el\u00e9ctrica de Chile, HQI Transelec Chile, pero su ex due\u00f1o -la firma canadiense Hydro-Qu\u00e9bec- la subast\u00f3. Desafortunadamente no fuimos los adjudicatarios; la el\u00e9ctrica fue comparada por Brookfield y un consorcio de otros fondos canadienses de pensiones incluidos CPP y British Columbia Investment Management Corp. <\/p>\n<p>Despu\u00e9s de eso, iniciamos una revisi\u00f3n sistem\u00e1tica de todas las categor\u00edas de infraestructura dentro de Chile y nos decidimos por las sanitarias, porque eran las que mejor se ajustaban a nuestros objetivos de inversi\u00f3n. Previmos que Southern Cross Group se interesar\u00eda en vender sus dos empresas de servicios sanitarios y comenzamos las negociaciones con ellos.<\/p>\n<p>Nos gustan estas empresas por una serie de razones: son monopolios regionales con derechos exclusivos para operar en su \u00e1rea geogr\u00e1fica espec\u00edfica, entregan rendimientos estables y de menor riesgo, y tienen una larga vida \u00fatil en t\u00e9rminos econ\u00f3micos, lo que es coherente con nuestras metas de inversi\u00f3n de largo plazo. <\/p>\n<p><b><i>\u00bfCu\u00e1nto ha invertido Teachers\u2019 en Chile?<\/b><\/i><\/p>\n<p>ESSBIO, ANSM y ESVAL en conjunto suman unos US$800 millones. El acuerdo por ESSBIO se cerr\u00f3 a principios de este a\u00f1o y esperamos que el de ESVAL finalice en diciembre del 2007 o a principios del 2008. <\/p>\n<p>Canad\u00e1 y Chile tienen un acuerdo de libre comercio, y Canad\u00e1 se ha convertido en el tercer mayor inversionista extranjero en Chile. \u00bfInfluy\u00f3 esto en su decisi\u00f3n para invertir ah\u00ed?<\/p>\n<p>No, no en realidad. Para infraestructura, buscamos activos que concuerden con nuestras necesidades de inversi\u00f3n, donde sea que est\u00e9n. Nuestra cartera es muy internacional. Por ejemplo, poseemos una participaci\u00f3n del 50% en una de las mayores empresas de centros comerciales de Brasil, centrales el\u00e9ctricas en Europa, M\u00e9xico y el Lejano Oriente, aeropuertos en Europa y Australia, y bosques madereros en Nueva Zelanda. Nuestra inversi\u00f3n en Chile equivale a menos del 1% de nuestra cartera mundial de inversiones de modo que no es como que estuvi\u00e9ramos apostando todo a este mercado. <\/p>\n<p><b><i>\u00bfQu\u00e9 hay de la competencia de otros inversionistas extranjeros?<\/b><\/i><\/p>\n<p>Se est\u00e1 volviendo m\u00e1s fuerte; mire a Transelec, pas\u00f3 a manos de otros inversionistas canadienses. Muchas instituciones bancarias han recaudado grandes fondos para invertir en activos de infraestructura: JP Morgan, Morgan Stanley, etc. Adem\u00e1s, muchos inversionistas institucionales tales como otros fondos de pensiones canadienses han comenzado sus propias actividades de infraestructura. De modo que ahora hay varios grupos rondando por el mundo en busca de esta clase de activos. <\/p>\n<p><b><i>La prensa local ha informado que OTPP es una de varias entidades interesadas en la participaci\u00f3n del 50% que la empresa energ\u00e9tica estadounidense PSEG Global tiene en la distribuidora el\u00e9ctrica chilena Chilquinta, \u00bfhay algo de cierto en todo eso?<\/b><\/i><\/p>\n<p>No nos referimos a rumores, pero a futuro podr\u00eda haber m\u00e1s inversiones en Chile.<!--:--><!--:en--><br \/>\n<!--break--><br \/>\nCanadian companies have long been lured to Chile by its large copper deposits but now they are discovering there is more to the country than mining. Infrastructure projects are making Chile a destination of choice for pension funds and companies looking for investments with low risk and long-term stability.<\/p>\n<p>In the past few years, investors including the Ontario Teachers&#8217; Pension Plan, the Canada Pension Plan Investment Board (CPP) and publicly-traded Brookfield Asset Management Inc., have spent billions of dollars acquiring Chilean utilities in the energy and water sectors.<\/p>\n<p>In fact, Canada has become the third-largest foreign investor in Chile, behind the United States and Spain, responsible for 16.4% of foreign direct investment in the country. Last year, Canadians invested US$1.8 billion in Chile, and a growing portion of that is in infrastructure projects.<\/p>\n<p>The Ontario Teachers\u2019 Pension Plan (OTPP) is the latest to climb onboard the bandwagon. With US$106 billion in net assets, OTPP is the largest single-profession pension plan in Canada, administering the pensions of 271,000 active and retired teachers in Ontario.<\/p>\n<p>Attracted by Chile\u2019s economic and political stability, OTPP has invested close to US$1 billion to buy interests in two Chilean water utilities and has plans to close an investment in a third by the end of this year.<\/p>\n<p>The \u201cpractical business savvy\u201d of Chile\u2019s Economic Development Agency (CORFO) and of the government has smoothed the way, says Jim Leech, OTPP\u2019s senior vice-president for private capital, who is tipped to take over as president and CEO in December.<\/p>\n<p>In August, OTPP completed the acquisition of 50.8% of publicly-traded Empresa de Servicios Sanitarios del Bio-Bio (ESSBIO), Chile\u2019s second largest water company with operations in Regions VI and VIII, and 100% of Aguas Nuevo Sur Maule (ANSM), which operates in Region VII. Stakes in both companies were purchased from Latin American private equity firm Southern Cross Group and other minor shareholders.<\/p>\n<p>OTPP has also signed an agreement to purchase up to 100% of ESVAL, Chile\u2019s third largest water and wastewater company in Region V. That transaction is expected to close by January 2008, reports Leech.<\/p>\n<p><b><i>What is Teachers\u2019 global investment strategy?<\/b><\/i><\/p>\n<p>The best investment to offset our inflation-linked pension liabilities would be inflation-indexed bonds but they do not earn enough, so we have to look for other long-term, low-volatility investments that are implicitly or explicitly linked to inflation or economic growth. This can include regulated utilities such as water and wastewater, hydroelectricity, gas, pipelines, toll roads, airports or ports.<\/p>\n<p>In 2002 we started investing in infrastructure and looking at markets with stable regulatory regimes, which are key for us. We became interested in Chile about three years ago and we got comfortable with the government and the regulatory framework.<\/p>\n<p><b><i>What attracted Teachers\u2019 to Chile?<\/b><\/i><\/p>\n<p>Its economic and political stability. We rank countries by economic and political risk and Chile came out as one of the best in Latin America.<\/p>\n<p>We found CORFO and the government to be very business-oriented and I think they will make great partners. They demonstrated a great deal of practical business savvy and it\u2019s refreshing to find that in a government agency. For example, we had to do a share capital reorganization which took regulatory approval, and the authorities were very cooperative.<\/p>\n<p>We have bought 100% of Aguas Nuevo Sur Maule, but 51% of ESSBIO, and will have over 50% of ESVAL. CORFO remains the single largest other shareholder in these companies. Together they represent approximately 30% of Chile\u2019s water systems. <\/p>\n<p>OTPP will actively participate on the boards of these companies &#8211; our plan is to appoint two Teachers\u2019 representatives and two independent Chilean businesspeople to each of the boards. The management will remain as is and will be responsible for the day-to-day operations of their respective companies.<\/p>\n<p>We are global investors and used to working in foreign countries. The key is to build strong relationships within the local business community. Over the past three years, our team has built up a network of contacts in Chile. Our modus operandi is to build relationships with people on the ground. We also use local consultants to advise the companies. <\/p>\n<p><b><i>Why invest in water utilities?<\/b><\/i><\/p>\n<p>In 2003, we identified Chile as an attractive country in which to invest. The first infrastructure asset we looked at was Chile&#8217;s largest electricity transmission firm, HQI Transelec Chile, but its former owner, Canada\u2019s Hydro-Qu\u00e9bec, put it up for auction. Unfortunately we were not the winner; it was bought by Brookfield and a consortium of other Canadian pension plans including the CPP and the British Columbia Investment Management Corp. <\/p>\n<p>Following that, we commenced a systematic review of all infrastructure categories within Chile and settled on water utilities as being the best fit for our investment objectives. We anticipated that Southern Cross Group would be interested in selling its two water utilities and entered into negotiations with them.<\/p>\n<p>We like these companies for a number of reasons: they are regional monopolies with exclusive rights to operate in their geographic area, they provide stable lower-risk returns, and they have a long economic life, consistent with our long-term investment goals. <\/p>\n<p><b><i>How much has Teachers\u2019 invested in Chile?<\/b><\/i><\/p>\n<p>ESSBIO, ANSM and ESVAL combined add to about US$800 million. The ESSBIO deal closed earlier this year and we expect the ESVAL deal to close by December 2007 or early January 2008. <\/p>\n<p>Canada and Chile have a free trade agreement and Canada has become the third-largest foreign investor in Chile. Did this influence your decision to invest here?<\/p>\n<p>No, not really. For infrastructure, we look for assets that fit our investment needs, wherever they may be. Our portfolio is very international. For example, we own a 50% interest in one of the largest shopping mall companies in Brazil, power plants in Europe, Mexico and the Far East, airports in Europe and Australia, and timberlands in New Zealand. Our investment in Chile is less than 1% of our global investment portfolio so it\u2019s not like we\u2019re putting all our chips on black. <\/p>\n<p><b><i>What about competition from other foreign investors?<\/b><\/i><\/p>\n<p>It is getting competitive; look at Transelec &#8211; it went to other Canadian investors. Many banking institutions have raised large funds to invest in infrastructure assets &#8211; JP Morgan, Morgan Stanley, etc. In addition, many institutional investors such as other Canadian pension plans have started their own infrastructure activities. So now you have many groups prowling the world in search of this asset class. <\/p>\n<p><b><i>The local press has reported that OTPP is one of several entities interested in U.S. energy firm PSEG Global\u2019s 50% stake in Chilean electricity distributor Chilquinta.
